1. Trade Account Eligibility
Trade accounts are available to approved retailers, online stores, gift shops, model shops and other businesses wishing to purchase genuine Miniature Dolls House products for resale.
All trade applications are subject to approval at the sole discretion of Miniature Dolls House. We reserve the right to refuse, suspend or withdraw trade account status at any time without obligation to provide a reason.
2. Trade Pricing
Approved trade customers will receive percentage-based discounts from our current retail prices.
Discount levels are determined by a number of factors, including but not limited to:
* Order value
* Purchase volumes
* Frequency of ordering
* Ongoing trading relationship
* Product range
Trade discounts are confidential and must not be disclosed to third parties.
Miniature Dolls House reserves the right to amend or withdraw trade pricing, discount structures or eligibility criteria at any time.
3. Minimum Selling Price Policy
To protect the value of the Miniature Dolls House brand, maintain fair competition and support all of our retail and trade partners, products purchased under a trade account must not be advertised or sold below the current retail price displayed on http://www.miniaturedollshouse.co.uk.
Trade customers are free to sell products above our published retail prices.
Where our retail prices change, the minimum selling price shall automatically change to reflect the latest pricing shown on our website.
Repeated or deliberate breaches of this policy may result in:
* Suspension of trade pricing
* Withdrawal of trade account privileges
* Cancellation of outstanding orders
* Permanent termination of the trade relationship
Temporary promotional pricing below our retail prices may only be offered with our prior written approval.
4. Intellectual Property
All products supplied by Miniature Dolls House remain protected by applicable intellectual property rights, including copyright, design rights and any other rights recognised under UK law.
Trade customers agree that they will not:
* Copy, reproduce or replicate any product.
* Reverse engineer any product or its construction.
* Create moulds, casts or tooling from any supplied product.
* Produce products that are identical or substantially similar.
* Commission or instruct any third party to reproduce our products.
* Manufacture derivative products based upon our designs.
* Sell copies, replicas or modified versions of our products.
The purchase of a product does not transfer ownership of any intellectual property rights.
Any unauthorised reproduction or commercial exploitation of our products may result in legal action.
5. Digital Reproduction & 3D Printing
As many of our products are designed and manufactured using advanced 3D printing technologies, additional protections apply.
Trade customers must not:
* 3D scan any product supplied by Miniature Dolls House.
* Digitally recreate or reverse engineer any product.
* Produce or commission CAD, STL, 3MF, OBJ or any other digital model derived from our products.
* Use supplied products for the purpose of creating digital manufacturing files.
* Manufacture products using 3D printing, CNC machining, moulding, casting, injection moulding or any other manufacturing process based upon our products or designs.
Any attempt to create digital or physical reproductions of our products constitutes a breach of these terms and may infringe our intellectual property rights.
6. Product Images & Website Content
All product photographs, rendered images, descriptions, graphics, logos and other content remain the property of Miniature Dolls House.
Approved trade customers may use our supplied product images and descriptions solely for the purpose of promoting and selling genuine Miniature Dolls House products purchased directly from us.
Trade customers must not:
* Claim ownership of our content.
* Remove branding or copyright information.
* Alter images in a misleading manner.
* Use our content to promote copied or imitation products.
* Reproduce our website, branding or marketing materials without permission.
7. Branding
Trade customers must not present themselves as the manufacturer or designer of Miniature Dolls House products unless expressly authorised in writing.
Products should not be rebranded or marketed in any way that could mislead customers regarding their origin.
8. Resale Channels
Products may be resold through:
* Physical retail premises
* Independent websites
* Online marketplaces
* Social media shops
* Trade exhibitions and events
Trade customers remain responsible for ensuring all listings, product descriptions and pricing comply with these Trade Terms.
9. Trade Purchases
Trade pricing is provided solely for businesses purchasing products for genuine resale.
Products purchased under a trade account must not be:
* Purchased primarily for personal use.
* Resold to another wholesaler or distributor without our written consent.
* Supplied to any business for the purpose of manufacturing copies or derivative products.
10. Product Integrity
Products must not be modified, altered, repainted or adapted in any way that could damage, misrepresent or diminish the Miniature Dolls House brand.
Where products are incorporated into larger displays or projects, they should not be represented as original designs created by the reseller.
11. Compliance & Account Reviews
Miniature Dolls House reserves the right to monitor compliance with these Trade Terms.
Where a breach is identified, we may, at our discretion:
* Request immediate corrective action.
* Suspend trade discounts.
* Cancel pending orders.
* Withdraw trade account status.
* Refuse future trade applications.
* Pursue legal remedies where appropriate.
12. Amendments
Miniature Dolls House reserves the right to amend these Trade & Reseller Terms & Conditions at any time.
The latest version will always be published on our website and will apply to all future orders. Continued use of a trade account constitutes acceptance of the most recent version.
13. Governing Law
These Trade & Reseller Terms & Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.
Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
